2 Acceptance of Terms

4 Client Responsibilities

As a client or user of our services, you agree to:

• Provide accurate, complete, and up-to-date information required for service delivery.
• Grant necessary access to platforms (e.g., Google Business Profile, WordPress, Google Ads account) as required.
• Ensure timely feedback, approvals, and payments as per agreed schedules.
• Not use our services for any unlawful, deceptive, or unethical purpose.
• Not share, resell, or misrepresent our work as your own without written permission.

5 Payments & Refunds

• Payment terms, amounts, and schedules will be agreed upon before project commencement.
• Advance payment or a deposit may be required before work begins, depending on the project scope.
• Once work has commenced, advance payments are generally non-refundable unless otherwise agreed in writing.
• Disputes regarding payments must be raised within 7 days of the invoice date.
• Digital Prayag reserves the right to pause or discontinue services in case of non-payment.

6 Intellectual Property

All content created by Digital Prayag — including website designs, written content, graphics, and strategies — remains our intellectual property until full payment is received.

Upon receipt of full payment, all deliverables created specifically for the client will be transferred to the client's ownership, unless otherwise stated in the project agreement.

Content published on digitalprayag.com — including blog posts, images, and service descriptions — is the sole property of Digital Prayag and may not be copied, reproduced, or distributed without prior written consent.

7 Results & Performance Disclaimer

Digital Prayag provides professional digital marketing services based on current best practices. However, we do not guarantee specific results such as a particular ranking position, a fixed number of leads, or a specific return on investment.

• Search engine rankings are determined by third-party platforms (Google, Bing) and are subject to their algorithm changes.
• Google Ads campaign performance depends on budget, competition, industry, and other external factors beyond our control.
• We commit to delivering our best professional effort and transparent reporting throughout the engagement.

8 Confidentiality

Both parties agree to keep confidential any proprietary information, business strategies, credentials, or data shared during the course of the engagement. This obligation continues even after the termination of services.

We will not share your business information with third parties without your consent, except where required by law or necessary to deliver the agreed services (e.g., platform integrations).

9 Termination of Services

• Either party may terminate an ongoing service engagement with a written notice of at least 15 days.
• Digital Prayag reserves the right to terminate services immediately if a client violates these Terms & Conditions or engages in any unethical conduct.
• Upon termination, all completed work up to the termination date will be delivered, and any outstanding payments will become immediately due.

10 Third-Party Tools & Platforms

Our services may involve the use of third-party platforms such as Google Ads, Google Business Profile, WordPress, Meta Business Suite, and other tools. Use of these platforms is subject to their respective terms of service and privacy policies.

Digital Prayag is not responsible for changes, restrictions, or policies imposed by these third-party platforms that may affect service delivery.

11 Limitation of Liability

To the fullest extent permitted by applicable law, Digital Prayag shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of our services, including but not limited to loss of business, revenue, data, or opportunities.

Our total liability in any dispute shall not exceed the total amount paid by the client for the specific service in question during the preceding three months.

12 Website Use & Prohibited Activities

While using digitalprayag.com, you agree not to:

• Use the website in any way that violates applicable Indian or international laws.
• Attempt to gain unauthorised access to any part of our website or systems.
• Submit false, misleading, or fraudulent information via contact forms or audits.
